KYC, directors, and UBO for an ADGM file

ADGM will not incorporate a story. It will incorporate identified people and, where relevant, identified corporate shareholders. Build the people pack before you argue about the trade name.

Individuals

• Clear colour scan of the bio page of a valid passport.
• Proof of residential address dated recently enough for the registrar (utility bill, bank letter, or official equivalent).
• A short CV for directors — the RA wants to know the humans exist and can be found.
• Contact details that someone actually answers.

Ultimate beneficial owners

A UBO is a natural person who owns or controls the company, directly or through a chain. A common working threshold is 25% of shares or voting rights, plus anyone who controls the board another way. Draw the chain on one page. If a Cayman or mainland company sits in the middle, you still need the humans at the top.

Corporate shareholders

A company shareholder brings its own certificate of incorporation, constitutional documents, register of directors and members, and often a certificate of good standing. Translate what is not in English if the RA asks. Multi-layer charts without documents are the slowest files we see.

Directors

At least one individual director is the usual pattern for founder companies. Corporate directors are possible in some structures and add KYC, not subtract it. Directors should understand they have duties under ADGM companies law — a nominee who never reads a resolution is a risk, not a feature.

What Nomux will not invent

We will not invent a missing passport, a false address, or a UBO who “doesn’t want to be named.” If a principal cannot appear on the chart, the structure is not ready to file.
